1. Agreement

These Terms & Conditions govern the use of the Pearl IT Services website and the purchase of our services. By submitting an enquiry, placing an order or making a payment, you accept these terms. Where a signed proposal or statement of work exists, that document takes precedence for the specifics it covers.

2. Services

Pearl IT Services provides website development, web applications, mobile applications, CRM and software integration, maintenance and SEO/digital marketing services.

3. Scope and deliverables

• •The scope, features, deliverables and delivery timeline for each engagement are those described in the purchased package or the written proposal shared with you.
• •Anything not explicitly listed in the agreed scope is considered additional work and is quoted separately.
• •Change requests that alter agreed scope may affect timelines and pricing; we confirm any impact in writing before proceeding.

4. Project timelines

• •Timelines shown on the website or in a proposal are working-day estimates that begin once the order is confirmed and all required content, access and inputs are received.
• •Delays in client feedback, approvals, content or third-party access will extend the timeline accordingly.
• •We keep you informed of progress and notify you promptly if a milestone is at risk.

5. Client responsibilities

• •Provide accurate project requirements, brand assets, content and any legally usable material.
• •Provide timely access to hosting, domain, analytics, CRM or other third-party accounts where required.
• •Nominate a single point of contact for approvals and provide feedback within a reasonable period.
• •Ensure that any content supplied to us does not infringe third-party rights and complies with applicable law.

6. Pricing and payments

• •Prices displayed on the website are starting prices for the described package; final pricing depends on the confirmed scope.
• •Applicable taxes are charged as required by law.
• •Payments are processed through our authorised payment gateway partners. Where the online gateway is unavailable, we share an alternative payment method in writing.
• •Work begins after the agreed advance payment is received. Unless stated otherwise, the standard structure is an advance at project start and the balance before final delivery or handover.
• •Overdue payments may result in suspension of work and delivery until the outstanding amount is cleared.

7. Coupons and promotional offers

• •Coupons and promotional offers are valid only for the period, services and conditions stated at the time of the offer.
• •Discounts apply to the order value at checkout, cannot be combined unless expressly stated, and have no cash value.
• •A coupon cannot be applied retroactively to an order that has already been placed.
• •We may withdraw or modify an offer at any time; orders already confirmed under a valid offer are honoured.

8. Revisions

• •Each package includes the number of revision rounds stated in its description or proposal.
• •Revisions cover refinements within the agreed scope and design direction.
• •Additional rounds, or changes that introduce new scope, are billed at our prevailing rates after written confirmation.

9. Intellectual property

• •Content, assets and materials supplied by you remain your property.
• •On receipt of full payment, ownership of the final custom deliverables produced for you transfers to you.
• •We retain ownership of our pre-existing frameworks, libraries, internal tools and know-how, and grant you a licence to use them as embedded in the deliverables.
• •Third-party components remain governed by their own licences.
• •Unless you ask us in writing not to, we may reference the completed project in our portfolio.

10. Third-party services

Projects may rely on third-party platforms, plugins, APIs, licences or subscriptions. Their availability, pricing, terms and performance are outside our control, and any associated fees are payable by you unless expressly included in the agreed scope.

11. Hosting, domains and maintenance

• •Unless hosting or domain services are expressly included in your package, purchasing, renewing and paying for domains, hosting, SSL and email services is the client's responsibility.
• •After handover, ongoing maintenance, updates, backups and security patching are the client's responsibility unless a maintenance plan is purchased.

12. Limitation of liability

To the maximum extent permitted by law, Pearl IT Services is not liable for indirect, incidental or consequential losses, including loss of profit, revenue or data. Our total liability for any claim arising from an engagement is limited to the amount actually paid by you for the service giving rise to the claim.

13. Cancellation and refunds

Cancellations and refunds are governed by our Refund & Cancellation Policy, available at /refund-policy, which forms part of these terms.

14. Confidentiality

Both parties agree to keep confidential any non-public business, technical or commercial information shared during the engagement, and to use it only for the purpose of delivering the project.

15. Force majeure

Neither party is liable for delay or failure to perform caused by events beyond reasonable control, including natural disasters, epidemics, war, civil disruption, government action, internet or power outages, or failures of third-party infrastructure.

16. Dispute resolution and governing law

These terms are governed by the laws of India. The parties will first attempt to resolve any dispute amicably through discussion. Disputes that cannot be resolved amicably are subject to the exclusive jurisdiction of the competent courts in India.

17. Changes to these terms

We may update these Terms & Conditions from time to time. The current version is always published on this page.
